Aveva Schneider Relationship Agreement

AVEVA and Schneider Electric have agreed to bear the costs and costs incurred in the preparation, negotiation, conclusion and conclusion of the merger agreement and any other merger agreement. Schneider Electric has agreed to cover the costs and costs of rehabilitating the advances. The merger agreement is governed by the laws of England and Wales. The parties agreed that all disputes arising from the merger agreement will be resolved through arbitration. AVEVA`s final dividend for fiscal year 17 of 27.0 pence per common share was paid to shareholders in the july 7, 2017 register on August 4, 2017. In accordance with the merger agreement, AVEVA has agreed that between the date of the merger agreement and the conclusion, it will not be able to pay or recommend, recommend or declare a dividend or other distribution (cash or other in kind) between the date of the merger agreement and the conclusion of an agreement, except with respect to the return on value. In addition, given the size and expected date of value return (provided it is completed), AVEVA will not pay an interim dividend for the current fiscal year, but AVEVA expects to pay a final dividend for this year, in accordance with its usual policy and practice. Counter-shares are allowed to receive this final dividend. AveVA intends to maintain its progressive dividend policy in place, taking into account the performance profile of the extended AVEVA group.

Both companies are knowledge-based and do not ship many tangible assets across the UK-EU border. It was feared that the fall in sterling would lead to a flight of foreign buyers to British companies. This has never happened – according to the merger experts with whom I speak, thanks to the continuing uncertainty over the UK`s post-Brexit trade relationship.
