The Client cannot cede or transfer this CONTRAT or the rights granted to him by law or any other means without NVIDIA`s prior written consent, and any attempt by the Client to do so without that consent is quashed. Unless expressly stated in this ACCORD, the exercise of one of its appeals under this ACCORD by one of the parties, without prejudice to its other remedies, will be exercised in the context of this ACCORD or by other means. If a provision of this ACCORD is inconsistent with the law or cannot be fully enforced, this provision is interpreted as far as possible and the other provisions remain fully in force and effective. This ACCORD is the final, comprehensive and exclusive agreement between the parties regarding the purpose of this Agreement and replaces all proposals, agreements, communications and prior or simultaneous agreements on this purpose, whether orally or in writing, unless the Client and NVIDIA enter into a separate agreement on the use of THE SOFTWARE. If one of the parties is unable to impose a provision of this ACCORD, it does not constitute a waiver of the future application of that or any other provision.
